Corporate Integrity in Business Operations

Within our company, a Corporate Integrity in Business Operations team operates under the CEO's office. This team is responsible for promoting corporate integrity, anti-corruption, anti-bribery, and legal compliance as part of our corporate governance initiatives. They regularly report their activities to the Board of Directors (at least once a year). The status of corporate integrity operations was presented to the 10th Board of Directors during its seventh meeting on November 7, 2023.

We steadfastly uphold a culture of "integrity and honesty" as the guiding principles for every employee at Z-COM. This serves as a moral compass and life's code of conduct for each member of our team. Through new employee training, self-awareness programs, and leading by example within our management team, we aim to internalize moral and integrity values as part of the DNA of every Z-COM team member. It is our hope that through diligent efforts in legal compliance, anti-corruption, and anti-money laundering measures, we can establish an organization that is synonymous with integrity and purity.

 

Code of Business Integrity

Our company engages in business activities based on the principles of fairness, honesty, trustworthiness, and transparency. To implement our policy of business integrity and actively prevent dishonest conduct, we have established this operating procedure and code of conduct, which specify the matters our personnel should pay attention to when conducting business. In accordance with the "Code of Business Integrity for Listed and Over-the-Counter Companies" and relevant laws in the locations where our company and group enterprises operate, we assess the legality, integrity in business operations, and any records of dishonest conduct of agents, suppliers, customers, or other business associates before establishing commercial relationships to ensure that their business practices are fair, transparent, and do not involve soliciting, providing, or accepting bribes. Directors, executives, and other stakeholders who attend or participate in board meetings and have conflicts of interest with the matters being discussed must disclose the relevant details of their conflicts of interest to the board. If their participation could be detrimental to the company's interests, they must abstain from discussions and voting on the matter. They should also excuse themselves from the discussion and voting, and they must not represent other directors in exercising their voting rights. Directors should also exercise self-regulation and avoid inappropriate mutual support.

 

Prevention of Fraud and Misappropriation of Business Activities

The dedicated department within our company is responsible for organizing an internal awareness campaign every year. During this campaign, the Chairman of the Board, the CCEO, or high-level management personnel convey the importance of integrity to directors, employees, and appointees. Our company incorporates integrity in business operations into employee performance evaluations and human resources policies, establishing a clear and effective system for rewards, penalties, and appeals. In order to promote integrity in business operations and ethical conduct, our company conducted educational training on relevant topics in 2023, with a total of 34 participants accumulating 182.5 hours of training.

 

Establishment of Whistleblowing Mechanism

In the year 2012, our company formulated the "Operating Procedures and Code of Conduct for Business Integrity" to establish a whistleblowing mechanism. The Board of Directors, Audit Committee, and the Audit Department serve as the internal reporting entities for violations of integrity in business operations. Additionally, external reports are accepted through an external whistleblowing mailbox. To ensure the sustainable development of the company's core business and to encourage the reporting of any illegal actions, we have enhanced the "Procedures for Handling Reports of Illegal, Unethical, or Dishonest Behavior" to strengthen both internal and external reporting channels. This has resulted in a more transparent and defined processing system while safeguarding the legal rights and interests of whistleblowers and related individuals. The company explicitly states its commitment to maintaining confidentiality and protection for whistleblowers and those involved in investigations, thereby preventing any unfair treatment or retaliation. Furthermore, to guide the conduct of our employees in alignment with ethical standards and to ensure that stakeholders have a better understanding of the company's ethical standards, we established the "Code of Ethics" in 2015. This code specifies that company personnel must adhere to relevant laws and integrity principles when conducting various business activities, prevent conflicts of interest, refrain from bribery and self-serving interests, and thereby strengthen corporate governance and instill a culture of integrity within the company.
